Because this web site is aimed at other businesses rather than end users;
unless otherwise stated all prices shown exclude
GST.
Privacy
We agree to keep all information and data, supplied to us by you, secret
and secure. We agree to use any data that you supply to us only for the
purpose for which you supplied it.
Invoices
In the case of the supply of services, or support, invoices will be sent
out by e-mail at the completion of each month. In the case of the supply
of goods; i.e. software or hardware, invoices will normally accompany
the goods or be sent out shortly after their delivery.
Payment
To reduce operating costs and overheads Innovative Systems requires all
customers to pay by direct deposit to our bank account. To assist with
this our banking details are printed on all invoices. Providing you have
access to electronic banking this is by far the most efficient and cheapest
option for both parties. If because of company policies you can not comply
with this condition then we will impose a minimum $50 invoice value on
your account.
Warranties and Representations.
Innovative Systems makes no expressed or implied warranty for the product
sold with regard to performance or fitness for a particular purpose. The
product is sold 'as is' and the Innovative Systems is not responsible
for any loss or incidental damages resulting from the use of the product
sold.
Limitation of Liability
Subject only to any non-excludable provisions of the Australian Trade
Practices Act of 1974 the liability of Innovative Systems shall be limited
to :-
(i) In the case of goods, to the replacement of or,
at the option of Innovative Systems, the repair of the goods;
(ii) In the case of services, the supplying of the services
again.
Technical Assistance
It is expressly agreed that if Innovative Systems provides to the Buyer
technical advice or assistance, then no liability for loss or damage suffered
whether directly or indirectly by the Buyer in consequence of its reliance
upon that technical advice or assistance shall attach to Innovative Systems,
whether that loss or damage arises for breach of contract or at common
law, including the law relating to negligence by Innovative Systems, and
whether arising directly, indirectly or consequentially.
Software Products; Proprietary Rights.
Where the product supplied by Innovative Systems to the Buyer is computer
software, then:
(a) Innovative Systems is, or is acting as a licensee of,
the manufacturer of the product, and
(b) The Buyer in purchasing the product, acquires only ownership
of the physical media upon which it is recorded (for example a diskette)
and the right to use the product in the terms of the licence accompanying
the product, but does not acquire ownership of the intellectual property
comprising the product, and in particular those relating to:
(i) Restrictions upon copying of the product ; and
(ii) Restrictions upon the customer hardware upon which the
product may be used.
Title of Goods.
All goods supplied by Innovative Systems Pty Ltd are at the purchasers
risk immediately from delivery. However, title of the goods remain with
Innovative Systems Pty Ltd until the invoice is paid in full.
Trading Terms.
All accounts are payable on the issue of an invoice by Innovative Systems.
Payment is required before 30 days from the date of the invoice. Normally
statements will not be issued except upon request or automatically if
an account is unpaid after 60 days from invoice date In all cases whenever
a statement is issued a $25 statement issue fee will be charged.
Other Purchasing Conditions.
The conditions in this document will override any conflicting conditions
pre-printed on purchase orders received by Innovative Systems Pty Ltd.
